Extract the .zip file use WinZip, 7zip, Izarc, etc.
Copy all the files into C:\. Make sure that “Use folder names” is checked. If Yahoo! Messenger is installed on a different hard drive, replace “C:\” with the appropriate drive letter.
Select Change Skin from the Messenger menu.
Select Skin then click Ok

Nice info also found here. If you install new versions of Yahoo Messenger, you’ll have to repeat the steps above, as Yahoo setup rewrites the registry entries. New versions will most likely make removing the ads more difficult or even impossible.
